2.3 Project Overview: Anhui Xinhua Distribution (Group) Holding Co., Ltd. (hereinafter referred to as the "Group" or the "Tenderer") holds a commercial property in Midtown Manhattan, New York City, USA. For details, please refer to the Tender Documents.

2.4 招标范围：本次选聘旨在确定一家具备纽约商业地产出售处置专业资质和能力的境内外房地产经纪及咨询服务机构（以下简称“经纪机构”），由其与物业产权持有人（即持有****点击查看公司）签署独家代理协议后，负责协助推进物业的市场推广、买方对接、交易谈判及交割协助等相关工作。集团作为物业产权持有人的实际控制人，主导本次选聘程序并对独家代理协议的核心条款享有审批权。

2.4 Tender Scope: This selection is intended to identify a China-based or overseas real estate brokerage and advisory firm (hereinafter referred to as the "Brokerage Firm") with the professional qualifications and capabilities required for the sale/disposition of commercial real estate in New York. After executing an exclusive agency agreement with the property titleholder (i.e., the overseas project company holding the property), the Brokerage Firm will assist in property marketing, buyer engagement, transaction negotiations, closing assistance, and related matters. As the de facto controller of the property titleholder, the Group will lead this selection process and retain approval rights over the core terms of the exclusive agency agreement.

2.6 服务期限：独家代理协议签署后24个月，到期后视项目推进情况，招标人自主决定是否**投标人服务期限。

2.6 Service Term: Twenty-four (24) months after execution of the exclusive agency agreement. Upon expiration, the Tenderer shall, at its sole discretion and based on project progress, decide whether to extend the bidder's service term.

3.1 Requirements for the Brokerage Firm

3.1.1投标人须为依法设立并有效存续的法人或合伙制机构，具有在美国纽约州纽约市从事房地产经纪、中介及咨询服务的合法资格。须提供机构合法****点击查看公司注册证书、有效期内的经营状态证明等）。

3.1.1 The bidder shall be a legally established and validly existing corporation or partnership with the legal qualification to engage in real estate brokerage, intermediary and advisory services in New York City, New York State, USA. Valid evidence of the firm's legal existence and good standing shall be provided (such as a certificate of incorporation/registration, a valid certificate of good standing, etc.).

3.1.2投标人须在美****点击查看办公室（permanent office）。****点击查看办公室的地址证明（如租赁合同摘要页、公用事业账单或其他可验证的地址证明文件），并附办公场所实景照片。

3.1.2 The bidder shall maintain a permanent office in New York City, USA. Proof of address for the permanent office in New York City shall be provided (such as the summary page of a lease agreement, a utility bill, or other verifiable proof of address), together with on-site photographs of the office premises.

3.1.3自2023年1月1日以来（以交割完成（Closing）时间为准），投标人承接并完成至少3个位于美国纽约市的单笔交易额不低于2,000万美元的商业地产出售处置项目。须提供业绩证明材料，每个项目应至少包含：项目名称、业主名称、物业地址、交易完成时间、交易金额及服务范围。以经纪/顾问合同摘要页、交割确认函（Closing Statement 摘要）或客户推荐信等可核验材料为准。如因保密协议限制无法提供上述材料的，可提交由投标人授权代表签署的书面声明（Sworn Statement），载明项目关键信息（包括项目名称、业主名称、物业地址、交易完成时间、交易金额及服务范围等），并承诺业绩真实性，同意招标人通过合规渠道进行核实。

3.1.3 Since January 1, 2023 (based on the date of Closing), the bidder shall have undertaken and completed at least three commercial real estate sale/disposition projects in New York City, USA, each with a transaction value of not less than USD 20 million. Supporting materials for the track record shall be provided. Each project shall include at least the project name, owner name, property address, transaction completion date, transaction value, and scope of services. The track record shall be supported by verifiable materials such as the summary page of the brokerage/advisory contract, a Closing Statement summary, or a client reference letter. If the above materials cannot be provided due to confidentiality agreements (NDAs), a Sworn Statement signed by the bidder's authorized representative may be submitted, specifying key project information (including the project name, owner name, property address, transaction completion date, transaction value, scope of services, etc.), undertaking that the track record is authentic, and consenting to verification by the Tenderer through compliant channels.

3.2 项目团队要求

3.2 Requirements for the Project Team

3.2.1投标人拟派项目团队中，至少有1人持有纽约州注册通用估价师资质（New York State Certified General Appraiser），至少有1人持有纽约州房地产经纪人执照（New York State Real Estate Broker License）。上述两项资质可由同一人持有。须提供纽约州注册通用估价师资质及纽约州房地产经纪人执照的复印件或纽约州官方在线查询系统的最新查询记录截图。

3.2.1 Among the project team members proposed by the bidder, at least one person shall hold the New York State Certified General Appraiser qualification, and at least one person shall hold a New York State Real Estate Broker License. The two qualifications above may be held by the same person. Copies of the New York State Certified General Appraiser qualification and the New York State Real Estate Broker License, or screenshots of the latest search results from the official New York State online registry system, shall be provided.

3.2.2投标人拟派项目负责人（1人）自2023年1月1日以来（以交割完成（Closing）时间为准），主导完成至少2笔位于美国纽约市的单笔交易额不低于2,000万美元的商业地产出售处置交易。须提供业绩证明材料，要求同机构业绩部分；项目负责人的业绩可与机构业绩（3.1.3项）中的项目重复计入。

3.2.2 Since January 1, 2023 (based on the date of Closing), the Project Lead (one person) proposed by the bidder shall have led and completed at least two commercial real estate sale/disposition transactions in New York City, USA, each with a transaction value of not less than USD 20 million. Supporting materials for the track record shall be provided, subject to the same requirements as those for the institutional track record. The Project Lead's track record may overlap with the projects included in the institutional track record (Item 3.1.3).

3.2.3须提供拟派项目负责人业绩清单。

3.2.3 A track record list for the proposed Project Lead shall be provided.

说明：

Notes:

1）本次招标不接受联合体投标。本项目选聘的是独家代理经纪机构，须由单一机构承担全部服务责任并签署独家代理协议。

1) Consortium bids will not be accepted for this tender. This project is for the selection of an exclusive brokerage firm; a single firm shall assume all service responsibilities and execute the exclusive agency agreement.

2）本招标文件所有涉及交易业绩的计数，均以交割完成（Closing）为准，仅签署意向书（LOI）或处于合同阶段的不计入。

2) All transaction track record counts in these Tender Documents shall be based on the date of Closing; projects for which only a Letter of Intent (LOI) has been signed or which remain at the contract stage shall not be counted.

3.3本项目不接受联合体投标。

Bidders shall submit encrypted electronic Bid Documents in PDF format by email before the above time. The encryption shall ensure that the content remains confidential and cannot be tampered with before bid opening. If the file cannot be decrypted due to file-related issues, the bidder shall bear sole responsibility. Bid Documents received late or not in compliance with the requirements will not be accepted.
